1. Agreement to Terms

By accessing or using UCP.tools ("the Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

UCP.tools is operated by Piotr Kaplon as an individual. Payment processing and invoicing is handled by GROWIFY Destina Slawinska.

2. Description of Service

UCP.tools provides tools for validating, generating, and monitoring Universal Commerce Protocol (UCP) Business Profiles. Our services include:

  • UCP profile validation and compliance checking
  • Schema.org markup analysis
  • AI readiness scoring
  • Profile generation tools
  • Monitoring and alerting (paid tiers)
  • API access (paid tiers)

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscriptions and Payments

4.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed by Stripe. Invoices are issued by GROWIFY Destina Slawinska.

4.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

4.3 Price Changes

We reserve the right to modify pricing with 30 days notice. Price changes will not affect current billing periods.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Submit malicious content or code
  • Exceed rate limits or abuse API access
  • Resell or redistribute the Service without permission
  • Use automated systems to scrape or extract data beyond normal API usage

6. Intellectual Property

The Service and its original content, features, and functionality are owned by UCP.tools and are protected by international copyright, trademark, and other intellectual property laws.

The UCP.tools validator library is open source under the MIT License. See our GitHub repository for details.

7. User Content

You retain ownership of any content you submit (domains, profiles, etc.). By submitting content, you grant us a license to process it for providing the Service. We do not claim ownership of your UCP profiles or validation data.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee that validation results are complete, accurate, or suitable for any particular purpose. UCP compliance determinations are informational only and do not constitute legal or professional advice.

Specifically, we do not warrant that:

  • The Service will be uninterrupted or error-free
  • Validation results will guarantee UCP compliance
  • The Service will meet your specific requirements
  • Any errors in the Service will be corrected

9. Limitation of Liability

To the maximum extent permitted by law, UCP.tools and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Business interruption
  • Any damages arising from reliance on validation results

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UCP.tools and its operator from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Third-Party Services

The Service integrates with third-party services (Stripe, Hetzner). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions of third-party services.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation.

13. Changes to Terms

We may revise these Terms at any time. Material changes will be notified via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by the laws of Poland, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Poland.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
